Terms & Conditions

1. Service Scope

1.1 Digital Professional Engagement

7ii provides a Digital Workforce Platform that enables users (“Clients”, “Employers”, or “Bosses”) to hire Digital Professionals and Digital Temps for defined operational roles.

Digital Professionals are role-based digital workers designed to assist with specific tasks and responsibilities as configured by the Client. They operate strictly within the scope of their assigned role, learned skills, and instructions provided by the Client through the platform.

Key characteristics of Digital Professional engagement include:

  • Digital Professionals are hired, not sold.
  • The Client does not acquire ownership rights over any Digital Professional.
  • Engagement is granted as a limited, revocable, non-transferable right of use, subject to these Terms.
  • Digital Professionals operate under human oversight and within clearly defined boundaries.
  • Digital Professionals may refuse or escalate requests that fall outside their configured role or available knowledge.

Each Digital Professional is engaged on a monthly, prepaid basis, comparable to a workforce engagement model rather than usage-based software licensing.

7ii reserves the right to:

  • Update, improve, or modify Digital Professional capabilities;
  • Restrict or disable functionality to ensure compliance, security, or ethical operation;
  • Suspend or terminate a Digital Professional in accordance with these Terms.

 

1.2 Platform Access and Availability

7ii provides access to its platform, dashboards, configuration tools, analytics interfaces, and related services (“Platform”) for the purpose of managing and supervising hired Digital Professionals.

Platform access includes, where applicable:

  • Hiring and unhiring Digital Professionals and Digital Temps;
  • Configuring roles, duties, skills, knowledge, and interaction rules;
  • Viewing analytics, reports, summaries, and escalations;
  • Managing integrations, connectors, and workflows;
  • Exporting data and reports within the limits of the Client’s active services.

Platform availability is provided on a commercially reasonable, best-effort basis. While 7ii aims to ensure high availability and reliability, uninterrupted or error-free operation is not guaranteed.

7ii may, without liability:

  • Perform scheduled or unscheduled maintenance;
  • Temporarily limit access to parts of the Platform;
  • Suspend access due to security, compliance, payment, or operational reasons.

Access to the Platform and its features is conditional upon:

  • Active payment status;
  • Compliance with these Terms;
  • Continued engagement of the relevant Digital Professional(s).

7ii does not guarantee that any Digital Professional or Platform feature will be available indefinitely, and reserves the right to modify, discontinue, or replace features as part of ongoing service development.

 

2. Hiring & Unhiring

2.1 Engagement Model

Digital Professionals and Digital Temps are made available to Clients exclusively through a hire-based engagement model.

By hiring a Digital Professional, the Client enters into a time-bound, prepaid engagement that grants the Client the right to use the services of the selected Digital Professional for the duration of the active billing period, subject to these Terms.

Key elements of the engagement model include:

  • Engagements operate on a monthly billing cycle, prepaid in advance.
  • Billing cycles renew automatically on the first day of each calendar month, unless the Digital Professional is unhired prior to renewal.
  • The initial hiring period may be subject to prorated charges, in accordance with the platform’s pricing rules in effect at the time of hire.
  • Digital Temps may be offered under fixed-duration or task-specific engagements, as defined at the time of hire.

Hiring a Digital Professional does not constitute:

  • A sale of software or assets;
  • A transfer of intellectual property;
  • An employment relationship between the Client and 7ii;
  • An employment relationship between the Client and the Digital Professional.

7ii retains the sole discretion to determine the availability, pricing, configuration, and eligibility of Digital Professionals offered through the platform.

 

2.2 No Ownership

Clients acknowledge and agree that:

  • All Digital Professionals are owned, operated, and controlled by 7ii.
  • Hiring a Digital Professional grants only a limited, revocable right of use.
  • Clients acquire no ownership, proprietary, or intellectual property rights in:
    • Digital Professionals;
    • Their underlying systems, models, or logic;
    • Any associated software, algorithms, or workflows.

Digital Professionals may not be:

  • Transferred or resold;
  • Replicated or reverse engineered;
  • Used outside the Platform or its authorised interfaces;
  • Claimed as proprietary or exclusive to the Client.

Any attempt to assert ownership or exclusive rights over a Digital Professional or its outputs is expressly prohibited.

 

2.3 Access Termination Upon Unhire

Clients may unhire a Digital Professional at any time through the Platform.

Upon unhiring, the following applies immediately:

  • The Digital Professional is removed from the Client’s Digital Workforce Dashboard;
  • All Client access to that Digital Professional ceases;
  • Public and internal interaction with the Digital Professional is disabled;
  • Any associated widgets, virtual offices, or public access points are taken offline;
  • The engagement is deemed terminated.

Unhiring does not entitle the Client to:

  • A refund of prepaid fees;
  • Continued access to the Digital Professional;
  • Continued use of associated public-facing integrations or scripts.

Data associated with the Digital Professional may be retained by 7ii for a limited period in accordance with applicable law and the Privacy Policy, but shall no longer be accessible to the Client following unhiring.

7ii reserves the right to permanently delete, archive, or anonymise data associated with an unhired Digital Professional in accordance with its data retention policies.

 

3. User Responsibility

3.1 Oversight Obligations

Clients acknowledge that Digital Professionals are assistive systems and do not operate autonomously or independently of human responsibility.

By hiring and deploying a Digital Professional, the Client agrees to:

  • Maintain appropriate human oversight over all Digital Professional activities;
  • Regularly review outputs, interactions, reports, and escalations;
  • Intervene when judgement, approval, or decision-making is required;
  • Ensure that Digital Professionals are used only for lawful, ethical, and appropriate purposes.

Digital Professionals are designed to operate within defined roles and constraints and may escalate uncertainty, incomplete information, or out-of-scope requests. Clients are responsible for responding to such escalations in a timely and appropriate manner.

7ii shall not be liable for outcomes arising from:

  • Failure to supervise Digital Professionals adequately;
  • Ignored or unresolved escalations;
  • Reliance on Digital Professional outputs without human review where such review would reasonably be expected.

 

3.2 Configuration Accuracy

Clients are solely responsible for the accuracy, completeness, and appropriateness of all configurations applied to Digital Professionals, including but not limited to:

  • Role definitions and assigned duties;
  • Instructions, guidelines, and behavioural rules;
  • Uploaded documents, data sources, and websites;
  • Skills, connectors, and workflow permissions;
  • Public versus private access settings;
  • Disclaimers and compliance-related instructions.

Digital Professionals operate strictly based on the information and permissions provided. Inaccurate, outdated, incomplete, or misleading configuration may result in incorrect, incomplete, or inappropriate responses or actions.

7ii does not verify the correctness, legality, or suitability of Client-provided content or instructions and assumes no responsibility for errors resulting from Client configuration choices.

Clients further agree that:

  • They will not intentionally misconfigure Digital Professionals to mislead, deceive, or harm third parties;
  • They will ensure that all instructions and knowledge sources comply with applicable laws, regulations, and professional standards;
  • They will promptly update configurations when business requirements, legal obligations, or operational contexts change.

Any misuse, misconfiguration, or failure to maintain accurate configuration may result in suspension or termination of services in accordance with these Terms.

 

4. AI Limitations

4.1 Role Boundaries

Digital Professionals operate strictly within the role, duties, and scope assigned to them by the Client at the time of configuration.

Each Digital Professional is designed to:

  • Perform only tasks relevant to its designated role;
  • Decline or ignore requests that fall outside that role;
  • Avoid speculation, assumptions, or improvisation beyond its configured scope.

Role boundaries are intentionally enforced to reduce the risk of error, misinformation, or inappropriate action. Clients acknowledge that Digital Professionals may refuse to perform tasks that are inconsistent with their role, even if such tasks appear technically feasible.

Requests that exceed role boundaries may be escalated, deferred, or declined without constituting a service failure.

 

4.2 Escalation Requirements

Digital Professionals are designed to escalate interactions when:

  • Information is incomplete, unclear, or conflicting;
  • A request cannot be answered confidently based on available knowledge;
  • A task requires human judgement, approval, or responsibility;
  • Legal, financial, medical, or ethical implications may be involved;
  • The request exceeds configured permissions or authority.

Escalation mechanisms are a core safety feature of the Platform and are not optional.

Clients acknowledge and agree that:

  • Escalations are intended to protect both the Client and third parties;
  • Failure to respond to escalations may limit the effectiveness of the Digital Professional;
  • 7ii is not responsible for outcomes resulting from ignored or unresolved escalations.

Digital Professionals are explicitly instructed not to fabricate answers or act beyond their confidence threshold.

 

4.3 No Autonomous Authority

Digital Professionals do not possess autonomous authority and are not capable of independent decision-making in a legal, professional, or human sense.

Accordingly:

  • Digital Professionals do not replace human judgement or responsibility;
  • Outputs and actions are assistive and informational unless explicitly configured otherwise;
  • Any actions performed through integrations or connectors occur strictly within permissions granted by the Client.

Clients remain fully responsible for:

  • Decisions made based on Digital Professional outputs;
  • Approvals of actions initiated by Digital Professionals;
  • Compliance with laws, regulations, and professional standards.

Nothing in the Platform or these Terms shall be construed as granting Digital Professionals independent authority to bind the Client, represent the Client legally, or act as a substitute for qualified human professionals.

 

5. Data Handling & Retention

5.1 Default Retention Periods

7ii collects and processes data solely for the purpose of providing, operating, securing, and improving the Digital Workforce Platform and the services associated with hired Digital Professionals.

By default, interaction-related data generated by a Digital Professional—including but not limited to conversation records, lead data, form submissions, summaries, and escalation logs—is retained for a limited and defined period.

Unless otherwise specified or extended by the Client:

  • Interaction data is retained until 30 days after the end of the calendar month in which the data was generated;
  • This retention period allows Clients sufficient time to:
    • Review interactions;
    • Export reports, leads, and summaries;
    • Perform internal audits or quality reviews.

After this default period, such data is no longer accessible to the Client through the Platform.

 

5.2 Optional Retention Extensions

Clients may elect to extend the retention period for certain categories of data by activating paid retention-related skills or features, subject to availability and pricing at the time of activation.

Where such extensions are enabled:

  • Data retention may be extended for defined periods, up to a maximum of two (2) years, depending on the selected service;
  • Extended retention applies only to the specific Digital Professional(s) and data categories covered by the activated feature;
  • Retained data remains subject to all applicable security, access control, and confidentiality measures.

Extended retention does not alter ownership, access rights, or usage restrictions, and does not grant Clients the right to use retained data for unlawful or unethical purposes.

 

5.3 Legal and Compliance Retention

Notwithstanding the default and optional retention periods described above, 7ii may retain certain data for up to twelve (12) months following the termination or unhiring of a Digital Professional, where such retention is required for:

  • Compliance with applicable laws and regulations;
  • Resolution of disputes;
  • Enforcement of these Terms;
  • Fraud prevention, security investigations, or abuse monitoring.

Data retained for legal or compliance purposes:

  • Is not accessible to the Client;
  • Is not used for training or improvement of global systems;
  • Is securely stored with restricted access;
  • Is processed solely for lawful and legitimate purposes.

 

5.4 Secure Deletion After Lifecycle

Upon expiration of the applicable retention period(s), data associated with a Digital Professional is subject to secure deletion, anonymisation, or irreversible archival, in accordance with 7ii’s internal data lifecycle management policies.

Secure deletion measures are designed to:

  • Prevent unauthorised access or recovery;
  • Ensure data is no longer identifiable or attributable to a specific Client or individual;
  • Comply with applicable data protection and privacy laws.

Clients acknowledge that, following secure deletion:

  • Data cannot be recovered or restored;
  • 7ii bears no obligation to retain or reconstitute deleted data;
  • Responsibility for exporting and preserving required records rests with the Client.

 

 

6. Payments & Subscriptions

6.1 Monthly Hiring Fees

Digital Professionals are hired on a monthly, prepaid engagement basis, comparable to a workforce or service retainer model rather than usage-based software licensing.

Key billing principles include:

  • Hiring fees are charged in advance on a monthly cycle;
  • The standard billing date for all active Digital Professionals is the first (1st) day of each calendar month;
  • Fees apply regardless of actual usage, reflecting the reservation and availability of the Digital Professional.

Initial Hire and Proration

For the first month of engagement only, hiring fees may be subject to proration as follows:

  • If a Digital Professional is hired before the 15th day of the month, the Client is charged a prorated amount based on the number of days remaining in that calendar month;
  • If a Digital Professional is hired on or after the 15th day of the month, the Client is charged 50% of the monthly hiring fee, with the remaining value credited and applied to the following month’s billing cycle.

Any credited amount is automatically applied to the next invoice and is not redeemable for cash or refunds.

 

6.2 Skill-Based Extensions

Digital Professionals may be enhanced through the activation of additional skills, bundles, or features (“Skills”), including but not limited to connector integrations, extended data retention, analytics enhancements, or specialised capabilities.

Skill-related billing operates as follows:

  • Skills are charged in full at the time of activation;
  • Skills are not subject to partial-month proration;
  • Recurring skill subscriptions, where applicable, follow the same monthly prepaid billing cycle as Digital Professionals;
  • Any deferred or credited amounts resulting from mid-month activation are applied to the subsequent billing cycle.

Clients acknowledge that Skills represent immediate access to additional capabilities and resources, and fees are therefore payable regardless of subsequent usage.

 

6.3 Failed Payments, Grace Periods, and Suspension

If payment for any Digital Professional or Skill is not successfully processed on the applicable billing date:

  • A grace period of up to three (3) days applies, during which the Digital Professional may continue to operate;
  • After the grace period, the Digital Professional may be placed into a suspended status, limiting or disabling functionality;
  • If payment remains outstanding for fifteen (15) days following the billing date, the Digital Professional may be automatically cancelled and removed from the Client’s Digital Workforce Dashboard.

7ii reserves the right to adjust service availability during grace or suspension periods and bears no obligation to restore cancelled services without rehiring and full payment.

 

6.4 No Refunds

All payments made to 7ii are non-refundable, including but not limited to:

  • Monthly hiring fees;
  • Prorated charges;
  • Skill activation fees;
  • Subscription renewals.

No refunds or credits are issued for:

  • Unhired Digital Professionals;
  • Unlearned or deactivated Skills;
  • Partial billing periods;
  • Periods of suspension or non-use.

Clients are responsible for managing their hiring and skill activation decisions accordingly.

 

 

7. Liability Boundaries

7.1 Platform Limits

7ii provides the Digital Workforce Platform and Digital Professionals on an “as is” and “as available” basis, within the scope defined by these Terms.

While 7ii takes reasonable measures to ensure reliability, security, and responsible operation, the Client acknowledges and agrees that:

  • Digital Professionals are assistive systems and do not guarantee accuracy, completeness, or suitability for any specific purpose;
  • Outputs may depend on the quality, completeness, and accuracy of Client-provided configuration, instructions, and data;
  • Platform availability may be affected by maintenance, updates, technical issues, or factors beyond 7ii’s reasonable control.

To the fullest extent permitted by applicable law, 7ii shall not be liable for:

  • Errors, omissions, or inaccuracies in Digital Professional outputs;
  • Business decisions made by the Client or third parties based on such outputs;
  • Loss of revenue, profits, business opportunities, or anticipated savings;
  • Reputational damage arising from Client use or misconfiguration of the Platform;
  • Indirect, incidental, special, consequential, or punitive damages.

7ii does not warrant that:

  • Digital Professionals will meet all Client expectations;
  • Services will be uninterrupted or error-free;
  • All defects or issues will be corrected immediately.

 

7.2 User Accountability

Clients remain fully and solely responsible for their use of the Platform and all Digital Professionals they hire.

This responsibility includes, without limitation:

  • Ensuring lawful, ethical, and appropriate use of Digital Professionals;
  • Maintaining proper human oversight and review;
  • Approving, supervising, or rejecting outputs and actions;
  • Ensuring compliance with all applicable laws, regulations, and professional standards;
  • Ensuring that public-facing interactions do not mislead or harm third parties.

Where Digital Professionals interact with third parties (e.g. customers, visitors, or partners), the Client is deemed the responsible party for those interactions.

7ii shall not be liable for claims, damages, losses, or liabilities arising from:

  • Client misuse or abuse of the Platform;
  • Use of Digital Professionals for illegal, unethical, deceptive, or unauthorised purposes;
  • Failure to respond to escalations or warnings;
  • Continued use of widgets, scripts, or integrations after suspension, cancellation, or non-payment.

Clients agree to indemnify and hold harmless 7ii, its affiliates, officers, and employees from any claims, damages, losses, or expenses arising from their use of the Platform in violation of these Terms or applicable law, to the extent permitted by law.

7.3 Acceptable Use & Prohibited Activities

Clients agree to use the Platform and Digital Professionals in a lawful, ethical, and responsible manner.

The Platform and Digital Professionals may not be used for any activity that is illegal, deceptive, abusive, or harmful, including but not limited to:

  • Fraud, impersonation, or misrepresentation;
  • Generation or dissemination of unlawful, defamatory, or misleading content;
  • Circumvention of safeguards, permissions, or role boundaries;
  • Collection or processing of personal data without lawful basis;
  • Automated harassment, manipulation, or social engineering;
  • Activities that violate applicable laws, regulations, or third-party rights.

7ii reserves the right, at its sole discretion, to suspend, disable, or terminate any Digital Professional or Client account where prohibited use is detected or reasonably suspected.

Such action may be taken without prior notice and shall not entitle the Client to any refund or compensation.

 

7.4 Right to Suspend or Terminate for Cause

Without limiting other remedies, 7ii reserves the right to suspend or terminate access to any Digital Professional or the Platform, with or without notice, where:

  • The Client violates these Terms;
  • The Platform or Digital Professionals are used for unlawful or unethical activities;
  • Continued operation poses legal, reputational, or security risk;
  • Required payments are not made within the specified periods.

Such suspension or termination shall not entitle the Client to any refund or compensation.

7.5 Public Widgets & Integration Obligations

Where a Client deploys a Digital Professional through a public-facing widget, script, virtual office, or similar integration, such deployment is permitted only while the Digital Professional remains active and paid.

Upon suspension, cancellation, or unhiring of a Digital Professional:

  • The Digital Professional may be marked as offline;
  • Public interaction will cease;
  • The Client must immediately remove any associated widget, script, or public integration from their website or systems.

Clients shall not continue to display inactive or non-functional widgets or integrations that reference or are branded as “Powered by 7ii”.

Failure to remove such integrations may:

  • Misrepresent the availability or reliability of the 7ii Platform;
  • Cause reputational harm to 7ii;
  • Constitute unauthorised use of the Platform.

7ii reserves the right to pursue appropriate remedies, including claims for damages, where such obligations are not met.

 

8. Intellectual Property & Underlying Systems

The 7ii Digital Workforce Platform, including all Digital Professionals, system architecture, orchestration logic, behavioural frameworks, workflows, and analytics mechanisms, is owned and operated by One Terrene International Group (OTI Group) under the trading name Seven Infinite Intelligence (7ii).

The Platform operates on proprietary underlying systems, including the AeonCore framework, which is protected by provisional patents and other intellectual property rights.

Clients acknowledge and agree that:

  • All intellectual property rights in and to the Platform, Digital Professionals, AeonCore, and any associated systems remain exclusively with 7ii or its licensors;
  • Hiring a Digital Professional grants no ownership, licence, or rights to the underlying algorithms, models, logic, or system architecture;
  • Outputs generated by Digital Professionals do not grant any rights to the underlying technology used to generate them.

Clients shall not, and shall not permit any third party to:

  • Reverse engineer, decompile, disassemble, or attempt to derive source code or system logic;
  • Replicate, simulate, or reconstruct platform behaviour or orchestration mechanisms;
  • Circumvent technical safeguards or usage controls;
  • Use the Platform to build or train competing systems.

Any unauthorised use of 7ii intellectual property may result in immediate suspension or termination of services and may give rise to legal action.

8.1 Use of Platform Content & Prohibited Replication

All content made available through the 7ii website, Platform, and Digital Professionals—including but not limited to text, visual elements, avatars, interface components, responses, outputs, demonstrations, widgets, and example interactions (“Platform Content”)—is provided solely for lawful use within the scope of the Platform and these Terms.

Except where expressly permitted by 7ii in writing, Clients and third parties may not:

  • Copy, reproduce, republish, distribute, or publicly display Platform Content;
  • Capture, screenshot, record, or extract Platform Content for the purpose of redistribution, commentary, mockery, or competitive analysis;
  • Create derivative works or representations based on Platform Content;
  • Use Platform Content in a misleading, defamatory, or harmful context;
  • Present Platform Content in a manner that misrepresents the functionality, availability, or behaviour of the Platform or Digital Professionals.

This restriction applies regardless of whether the Platform Content is publicly accessible, displayed through a widget, or visible on the 7ii website.

Unauthorised use, replication, or misrepresentation of Platform Content constitutes a material breach of these Terms and may result in suspension or termination of access, issuance of takedown notices, and pursuit of legal remedies where appropriate.

 

9. Governing Law & Jurisdiction

These Terms & Conditions, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Republic of Cyprus.

The courts of Cyprus shall have exclusive jurisdiction to settle any dispute or claim arising from or related to these Terms, the Platform, or the services provided by 7ii, unless mandatory law provides otherwise.

 

10. Updates to These Terms

7ii may update or modify these Terms & Conditions from time to time to reflect changes in legal requirements, platform functionality, operational practices, or service offerings.

Where changes are material, 7ii will take reasonable steps to notify Clients through the Platform or other appropriate means.

Continued access to or use of the Platform after updated Terms & Conditions take effect constitutes acceptance of the revised terms.

If a Client does not agree to the updated Terms, they must discontinue use of the Platform and unhire all Digital Professionals prior to the effective date of the changes.
